Macon Charter Academy, Inc. (‘the Academy”) is a nonprofit Georgia corporation and will be operated as such. The corporation and its activities are governed by a Board of Directors, who shall be selected, serve and govern in accordance with the corporate bylaws, which shall at all times be maintained to align with the terms of the charter and all applicable laws.

The number of directors shall be at least five and not more than 13 natural persons, at least 18 years of age. As a matter of policy, the Governing Board has decided that one seat on the Board shall be reserved for the President of the IB Parent’s Group from Central High School or his/her designee. Based on the international nature of the IB program and curriculum it is important that the Board consist of a diverse cross section of Bibb citizens. Care has been taken to make that a reality. Dr. Shelly Martin is the current IB parent representative on the Board.

The Academy’s Governing Board has also made a policy decision to include a seat on the Board for a local IB graduate who finished high school within the last 10 to 15 years. There will also be a seat, to be filled after opening of the school, for a parent of a currently enrolled student. The remaining seats shall be filled by local community members with a range of expertise to include technology, curriculum, finance, business, law, legal, public relations and school administration. The Board is self perpetuating and all directors shall be designated by the existing Board of Directors. All Board Members will serve on a volunteer basis and will be asked to sign a Conflict of Interest Statement.
